Business transfer adviser: following the sale with the seller
A long sale, documents scattered everywhere
You advise an owner selling their company, often for more than a year. You need the tax returns, the interim accounts, the articles of association, the main customer contracts, the staff register; then, once the letter of intent is accepted, everything the buyer asks for in due diligence. Some of it comes from the seller, some from their accountant, by email, as attachments or through a download link that expires.
The seller no longer knows what is missing. Their accountant receives the same request twice. And when someone asks who has read the letter of intent, the answer is spread across several inboxes.
What Kolinea changes for you
Confidentiality
The letter of intent, for the seller only
Internal notes stay with the firm. A confidential document is read only by the firm and by the participants it names or mentions: an accountant you have not named cannot see it. The log shows who viewed what.
- Internal notes, invisible to the seller
- Confidential: your team and the participants named
- Exportable access log
Asked “who saw this document?”, you have the answer
Document requests
The seller’s documents, gathered in a single request
Tax returns, interim accounts, contracts: the seller or their accountant uploads each document on its line; you accept or refuse with the reason.
- A document list for each request, with a due date
- Refusal with a reason: the seller knows what to upload again
- The request closes when everything is accepted
Your client uploads their documents from their phone
Closing and archive
After completion, the record of the sale
Once closed, the folder becomes read-only: the mandate, the approved letter of intent and the documents handed over stay readable by the firm and the seller, for as long as the workspace exists.
- Read-only for everyone once closed
- Each document keeps its date and who uploaded it
- Can be reopened if the folder picks up again
Long after, you can reread what was requested, decided and approved

Folder templates
Every sale, ready in advance
The “Company sale” template prepares the approval of the mandate, the seller’s financial documents, the approval of the memorandum and of the letter of intent, then the due diligence documents, with their due dates.
- Planned items, in order
- Due dates that fit each folder
- Your own templates, shared with your firm (Premium)
You write your requests once for all your clients
Each sale has its own folder, with internal notes
The seller and their accountant each have their own link, with no account. Either of them can write to you or upload a document on their own initiative. Your firm shares the folder, opened from the “Company sale” template, with internal notes the seller never sees.
-
Sale mandate
Submitted for sign-off. The seller approves it in their own name, with the date.
-
Financial documents
Tax returns, interim accounts, articles of association, staff register. A document request, one line per document, accepted or refused with the reason (how the collection works).
-
Information memorandum
Reviewed and approved by the seller before it goes out to candidates.
-
Letter of intent
Published as confidential for the seller alone, then approved through a sign-off.
-
Due diligence
The documents the buyer asks for, requested from the seller and their accountant, each with its due date.
Kolinea gathers, dates and keeps the documents exchanged with the seller. It is not a data room: you make the documents available to the buyer as you usually do. A sign-off is a simple approval, not a qualified electronic signature: the share purchase agreement is signed as usual.
The letter of intent stays between you and the seller
The seller's accountant can be added as a participant: they upload what is asked of them and follow what concerns them. A sensitive document is published as confidential: the firm and the people you name can read it; a participant you have not named sees it neither in the thread, nor in reminders, nor in the folder export.
The folder's access log shows who viewed which document, and when. You can withdraw access at any time. Details are on the Security and privacy page.
A record that still matters after completion
Reminders chase each document or approval still pending: two days before the due date, on the day, the day after, then seven days later. The seller sees what is left to provide for due diligence without waiting for your next call.
Once the sale is signed, you close the folder: it becomes read-only. The mandate, the approved letter of intent and every document handed over, with its date and the name of whoever uploaded it, remain available to the firm and the seller for as long as the firm's workspace exists. If a warranty claim is raised, you can find what the seller gave you, and when.

100 seats left out of 100 Reserve it from your workspace once signed up
Your ongoing folders carry on, and your clients keep access to closed folders for life, as long as your workspace exists. If you delete the workspace, everyone is notified by email 30 days beforehand and can download the export of their folders.
Not if your exchanges are one-off, with no follow-up: an email is enough. Nor if you need to invoice your clients, or a qualified electronic signature: Kolinea does not invoice, and its sign-off is a simple approval, dated and in the name of the person who gave it, with no value as a qualified signature. It keeps a record of what was accepted and when; if your document requires a qualified signature, you need another tool.
They have nothing to install or remember: they open their link and first see what you expect from them, on a phone or a computer.
Learn moreFrom their contact card, you generate a single-use link, to be opened within 24 hours, and a 6-digit code that you pass on yourself: the link by text or messaging app, the code by phone or in person. Their device is then recognised for your folders.
Learn moreEach trade shown here has its own folder template, with the usual requests already written: “Litigation” for a lawyer, “Year-end” for an accountant, “Rental listing” for a property manager, and so on. They are available on the Free plan; writing your own templates and adding custom fields (floor space, budget, property type…) is reserved for Premium.
