# Business transfer adviser: following the sale with the seller

> An SME sale followed with the seller: financial documents gathered, mandate and letter of intent approved in their name, due diligence tracked.

## A long sale, documents scattered everywhere

You advise an owner selling their company, often for more than a year. You need the tax returns, the interim accounts, the articles of association, the main customer contracts, the staff register; then, once the letter of intent is accepted, everything the buyer asks for in due diligence. Some of it comes from the seller, some from their accountant, by email, as attachments or through a download link that expires.

The seller no longer knows what is missing. Their accountant receives the same request twice. And when someone asks who has read the letter of intent, the answer is spread across several inboxes.

## Each sale has its own folder, with internal notes

The seller and their accountant each have their own link, with no account. Either of them can write to you or upload a document on their own initiative. Your firm shares the folder, opened from the “Company sale” template, with internal notes the seller never sees.

- **Sale mandate**: submitted for sign-off. The seller approves it in their own name, with the date.
- **Financial documents**: tax returns, interim accounts, articles of association, staff register. A document request, one line per document, accepted or refused with the reason ([how the collection works](/en/features/document-requests)).
- **Information memorandum**: reviewed and approved by the seller before it goes out to candidates.
- **Letter of intent**: published as confidential for the seller alone, then approved through a sign-off.
- **Due diligence**: the documents the buyer asks for, requested from the seller and their accountant, each with its due date.

Kolinea gathers, dates and keeps the documents exchanged with the seller. It is not a data room: you make the documents available to the buyer as you usually do. A sign-off is a simple approval, not a qualified electronic signature: the share purchase agreement is signed as usual.

## The letter of intent stays between you and the seller

The seller's accountant can be added as a participant: they upload what is asked of them and follow what concerns them. A sensitive document is published as [confidential](/en/features/document-confidentiality): the firm and the people you name can read it; a participant you have not named sees it neither in the thread, nor in reminders, nor in the folder export.

The folder's access log shows who viewed which document, and when. You can withdraw access at any time. Details are on the [Security and privacy](/en/security) page.

## A record that still matters after completion

Reminders chase each document or approval still pending: two days before the due date, on the day, the day after, then seven days later. The seller sees what is left to provide for due diligence without waiting for your next call.

Once the sale is signed, you [close the folder](/en/features/closing-and-archiving): it becomes read-only. The mandate, the approved letter of intent and every document handed over, with its date and the name of whoever uploaded it, remain available to the firm and the seller for as long as the firm's workspace exists. If a warranty claim is raised, you can find what the seller gave you, and when.
